Governing Law

Purpose

The contract is governed by the law of the contract as stated in the Contract Data. The governing law determines how the contract is interpreted and enforced.

Practical Application

The governing law should be expressly stated in the Contract Data. It affects interpretation of all clauses, limitation periods, and remedies available to the Parties.

Common Pitfalls

If no governing law is stated, conflict of law rules determine applicable law. This creates uncertainty. Always specify the governing law in the Contract Data.
