Clause 12.3

Variations to the Contract

Purpose

No change to the contract has effect unless it has been agreed, confirmed in writing and signed by the Parties, except for changes provided for by the conditions of contract themselves such as compensation events or PM instructions changing the Scope.

Practical Application

Formal contract amendments require signed agreement by both Parties. This does not apply to changes properly made through the contract mechanisms such as PM instructions or implemented compensation events.

Common Pitfalls

Verbal agreements or unsigned written agreements to change the contract are ineffective. Ensure any intended contract variation is formally documented and signed by both Parties.
