Entire Agreement
The contract is the entire agreement between the Parties. No terms outside the contract documents have effect unless incorporated by reference.
The entirety clause prevents either Party from relying on pre-contractual representations or side agreements not documented in the contract. All relevant terms must be contained within the contract documents.
Pre-contract correspondence, emails, and verbal assurances are not part of the contract unless explicitly incorporated. Both Parties should ensure all agreed terms are documented in the Contract Data or Scope.
