Stopping Subcontractor Corrupt Acts
The Contractor takes action to stop a Corrupt Act of a Subcontractor or supplier of which it is, or should be, aware. The Contractor has a positive duty to intervene.
The Contractor must actively monitor its supply chain for corrupt practices and take corrective action when identified. This includes investigations, requiring cessation, and terminating contracts if necessary.
Constructive knowledge (what the Contractor 'should be' aware of) is sufficient to trigger this obligation. Willful blindness to subcontractor corruption is not a defence.
