Assignment of Rights
Either Party notifies the other Party if they intend to transfer the benefit of the contract or any rights under it. The Client does not transfer a benefit or rights if the party receiving them does not intend to act in a spirit of mutual trust and co-operation.
Assignment requires notification to the other Party. The Client has an additional restriction: it cannot assign to a party that does not commit to the mutual trust and co-operation principle.
The notification requirement is procedural - neither Party can unilaterally veto an assignment by the other. However, the Client's restriction on assigning to non-co-operative parties provides some protection.
